INDEPENDENT AUDIT THRESHOLD VALUES UPDATED

ARTICLE 1 – Subparagraph (3) of clause (b) of paragraph (1) of Article 3 of the Decision enacted by Presidential Decree No. 6434 dated 29/11/2022 has been amended as follows:

   3) New threshold values for companies not falling within the scope of subparagraphs (1) and (2):

      i) Total assets: 500 million Turkish Lira.

      ii) Annual net sales revenue: 1 billion Turkish Lira.

      iii) Number of employees: 150 persons.

ARTICLE 2 – Item 9 of the Annex (I) list attached to the same Decision has been amended as follows:

• "9) State Economic Enterprises (SEEs) and their subsidiaries operating within the scope of the Decree Law No. 233 dated 8/6/1984 on State Economic Enterprises, as well as companies established domestically within the scope of Article 1 of the Natural Gas Market Law No. 4646 dated 18/04/2001, in which more than 50% of the capital is directly or indirectly owned by SEEs."

ARTICLE 3 – This Decision shall enter into force on the date of its publication, to be applied in determining whether companies are subject to audit for accounting periods starting on or after 01/01/2026.

ARTICLE 4 – The provisions of this Decision shall be executed by the President.
